Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs your use of the goClose platform and services ("Platform") provided by goClose LLC ("goClose"). By using the Platform, you agree to comply with this AUP. Violations may result in immediate suspension or termination of access.
1. Permitted Uses
The Platform is intended solely for lawful business purposes related to accounting month-end close management, financial reconciliation, and related workflow automation. You may use the Platform to:
- Manage and track your organization's accounting close checklists and workflows.
- Upload, store, and manage financial reconciliation data for your organization or clients.
- Connect to authorized ERP systems and document storage platforms.
- Collaborate with authorized team members within your organization.
2. Prohibited Uses
You may not use the Platform for any of the following:
2.1 Illegal Activity
Using the Platform to facilitate, conceal, or commit fraud, embezzlement, money laundering, tax evasion, or any other illegal act. Uploading data you are not authorized to access or process.
2.2 System Interference
Probing, scanning, or testing the vulnerability of goClose's systems or networks. Introducing malware, viruses, ransomware, or other malicious code. Conducting denial-of-service attacks or otherwise interfering with Platform availability.
2.3 Unauthorized Access
Accessing accounts or data of other goClose users without authorization. Sharing login credentials with unauthorized persons. Attempting to circumvent authentication or security controls.
2.4 Reverse Engineering
Decompiling, disassembling, or reverse engineering the Platform. Attempting to access or derive goClose's source code or proprietary algorithms.
2.5 Resale or Unauthorized Distribution
Reselling, sublicensing, or making the Platform commercially available to third parties without goClose's express written consent.
2.6 Data Harvesting
Scraping or systematically extracting data from the Platform other than through authorized APIs or export features.
3. Data Responsibilities
You are solely responsible for the accuracy and lawfulness of data you upload. You represent and warrant that:
- You have all necessary rights and authorizations to upload and process the data you submit.
- Your use of the Platform complies with all applicable laws, including data protection and privacy laws.
- You will not upload data containing personal information of individuals without appropriate consent or legal basis.
4. No Reliance Without Verification
You agree that you will not implement any accounting entry, financial statement, regulatory filing, or business decision based solely on Platform outputs without independent human review and verification by a qualified professional.
5. Reporting Violations
If you become aware of any violation of this AUP or any suspected security incident, promptly notify goClose at info@goclose.com.
6. Consequences of Violation
goClose reserves the right, in its sole discretion, to immediately suspend or permanently terminate your access for any violation of this AUP without liability or refund. goClose may also report violations to appropriate law enforcement or regulatory authorities.
